President Volodymyr Zelensky signed the Law “On Amendments to Certain Legislative Acts of Ukraine Concerning Simplification of Attracting Investments and Introduction of New Financial Instruments” № 738-IX (draft №2284).
The document sets out in a new version the Laws of Ukraine "On Securities and Stock Market" (new name - Law of Ukraine "On Capital Markets and Organized Commodity Markets") and "On Commodity Exchange" (new name - Law of Ukraine "On Commodity Exchanges"), as well as makes appropriate changes to a number of legislative acts of Ukraine. Thus, the issues of functioning of the markets of derivative (derivative) financial instruments, capital markets and organized commodity markets, as well as the development of their infrastructure are comprehensively regulated.
The law expands the list of financial instruments by classifying money market instruments as financial instruments, as well as introducing new types of securities - bank certificates of deposit, green bonds, option certificates, depository receipts, etc.
The rights of bondholders are protected, in particular by providing for the institution of a meeting of bondholders and a collective representative of corporate bondholders, in accordance with world best practices.
In addition, the Law is aimed at introducing international best practices in the capital markets of Ukraine, in particular the latest legislative changes in the European Union and the recommendations of the International Association of Swaps and Derivatives (ISDA).
